Kaizen Wellness Terms of Use, Programme Terms, Health Disclaimer and Privacy Notice

These Terms apply to all Kaizen Wellness websites, mobile applications, online platforms, digital products, coaching programmes, courses, training plans, nutrition plans, communities, support channels, payment arrangements, EFT payments, online payments, consultations, live sessions, recordings, resources, and related services.
By accessing, purchasing, joining, using, downloading, registering for, or participating in any Kaizen Wellness service, you confirm that you have read, understood, and agreed to these Terms.
If you do not agree to these Terms, you must not purchase, access, use, or participate in any Kaizen Wellness service.
These Terms are intended to be clear and practical. They are also intended to protect the integrity of our programmes, our clients, our coaches, our companies, our platform, and our intellectual property.
1. Who We Are
For the purposes of these Terms:
“Kaizen,” “Kaizen Wellness,” “we,” “us,” or “our” refers to Kaizen Wellness International LLC and/or Kaizenites (Pty) Ltd, depending on the programme purchased, payment method used, service provider involved, and applicable transaction.
Kaizen Wellness International LLC is a Delaware limited liability company. It owns, controls, licenses, or operates the Kaizen Wellness digital platform, online programmes, digital content, app-related services, intellectual property, websites, online checkout infrastructure, course materials, training content, nutrition content, educational materials, and international online payment systems.
Kaizenites (Pty) Ltd is a South African private company that may provide local service delivery, coaching support, administrative support, client communication, operational support, and EFT payment collection support for certain South African clients, executive clients, corporate clients, or clients who choose to pay by EFT.
Payment into a Kaizenites (Pty) Ltd bank account does not transfer ownership of the Kaizen Wellness platform, app, course content, intellectual property, programme materials, digital resources, brand assets, methods, systems, or frameworks to Kaizenites (Pty) Ltd or to the client. Unless otherwise stated in writing, these remain owned, licensed, or controlled by Kaizen Wellness International LLC and/or the Kaizen Wellness group.
2. Acceptance of These Terms
You accept these Terms when you:

create an account;

access our website, app, platform, course, community, or programme;

purchase a programme, product, service, consultation, digital product, or subscription;
-
make payment by card, EFT, payment link, invoice, online checkout, or any other method;
-
tick a checkbox confirming acceptance;
-
submit information to us;
-
participate in coaching, check-ins, live sessions, community discussions, WhatsApp communication, email communication, or support channels;
-
use any Kaizen Wellness material, content, method, plan, video, PDF, meal plan, training plan, recipe, framework, or resource.
If you accept these Terms on behalf of a company, team, organisation, employee group, spouse, dependent, or another person, you confirm that you have the legal authority to do so.
3. Minimum Age
Unless we agree otherwise in writing, our programmes and services are intended for people who are at least 18 years old.
If a person under 18 participates in any Kaizen Wellness service, this may only happen with the written consent of a parent or legal guardian, and where appropriate, with medical clearance from a qualified healthcare professional.
We may refuse access, suspend access, or request additional consent or documentation if we believe a participant is under 18 or if participation may not be appropriate.
4. Our Services
Kaizen Wellness may provide services including, but not limited to:

digital courses;

app-based programmes;

online coaching programmes;
-
transformation programmes;
-
executive performance programmes;
-
corporate wellness or capacity development programmes;
-
training plans;
-
nutrition plans;
-
recipes and meal guidance;
-
supplement discussions;
-
cardio protocols;
-
educational videos;
-
live coaching sessions;
-
recorded sessions;
-
community access;
-
WhatsApp, email, app, or platform-based support;
-
check-ins and accountability structures;
-
consultations;
-
personal development, mindset, performance, capacity, and lifestyle education.
The exact services included in your purchase are determined by the specific programme, offer page, checkout page, invoice, written proposal, or written agreement that applies to your purchase.
We may update, improve, replace, remove, restructure, or modify programme materials, app features, coaching structures, support methods, live sessions, recordings, platform access, meal plan templates, training plans, or resources from time to time.
5. Educational and Coaching Purpose Only
All Kaizen Wellness programmes, materials, meal plans, training plans, videos, recipes, supplement discussions, coaching comments, live sessions, messages, app content, PDFs, frameworks, articles, emails, checklists, and resources are provided for general informational, educational, coaching, performance, wellness, and personal-development purposes only.
They are based on Kaizen’s experience, opinion, coaching methodology, practical approach, and general educational framework.
They are not medical advice, dietetic advice, psychological advice, psychiatric advice, physiotherapy advice, emergency advice, legal advice, financial advice, or a substitute for professional diagnosis, treatment, therapy, rehabilitation, counselling, or individual medical care.
You are responsible for deciding whether any exercise, nutrition change, lifestyle change, supplement, strategy, habit, technique, or recommendation is suitable for you.
6. Participation At Your Own Risk
By joining or using any Kaizen Wellness service, you understand and agree that participation is voluntary and at your own risk.
Exercise, nutrition changes, weight loss, calorie restriction, supplementation, habit change, lifestyle change, emotional reflection, performance coaching, and personal development can involve risk.
Possible risks may include, but are not limited to:

physical discomfort;
-
muscle soreness;
-
injury;
-
fatigue;
-
dizziness;
-
changes in appetite;
-
emotional discomfort;
-
frustration;
-
changes in energy;
-
changes in mood;
-
changes in body weight;
-
changes in sleep;
-
aggravation of an existing condition;
-
unexpected health responses.
You must stop any activity immediately if you experience pain, chest pain, dizziness, faintness, shortness of breath, unusual symptoms, severe emotional distress, or any reaction that concerns you. You must seek medical help where appropriate.
You agree that Kaizen is not responsible for injuries, health complications, emotional responses, financial consequences, or other outcomes that arise from your participation, except where the law does not allow such responsibility to be excluded.
7. Medical Clearance and Personal Responsibility
Before starting any Kaizen Wellness programme, you should consult a qualified healthcare professional, especially if you:

have any medical condition;

have any injury;
-
are pregnant or trying to become pregnant;
-
have recently given birth;
-
have diabetes;
-
have high or low blood pressure;
-
have cardiovascular concerns;
-
have kidney, liver, thyroid, hormonal, digestive, metabolic, or neurological concerns;
-
have a history of eating disorders or disordered eating;
-
have a mental health condition;
-
use prescription medication;
-
use GLP-1 medication, insulin, hormone therapy, testosterone, thyroid medication, psychiatric medication, blood pressure medication, appetite suppressants, or any other medication;
-
have been advised by a healthcare professional to avoid certain foods, exercises, or lifestyle changes;
-
are unsure whether participation is appropriate for you.
You are responsible for providing accurate and complete information to Kaizen where requested. You are also responsible for informing us if your health, medication, injury status, mental health, pregnancy status, or personal circumstances change during a programme.
We are entitled to rely on the information you provide. We are not responsible for consequences caused by inaccurate, incomplete, outdated, or withheld information.
8. Medication, GLP-1, Hormones and Medical Treatment
Kaizen does not prescribe, recommend, manage, supervise, adjust, approve, or advise on medication or medical treatment.
This includes, but is not limited to:

GLP-1 medication;
-
Ozempic, Wegovy, Mounjaro, Saxenda, or similar medication;
-
insulin;
-
diabetes medication;
-
thyroid medication;
-
blood pressure medication;
-
testosterone;
-
hormone therapy;
-
antidepressants;
-
psychiatric medication;
-
appetite suppressants;
-
pain medication;
-
prescription supplements;
-
any medical treatment.
Any medication-related decision must be made directly with a qualified healthcare professional.
If you choose to participate in a Kaizen Wellness programme while using medication or receiving medical treatment, you do so at your own risk and remain responsible for medical supervision through your healthcare provider.
9. Mental Health and Crisis Support
Kaizen Wellness may discuss topics such as performance, behaviour, mindset, emotional capacity, regulation, recovery, identity, meaning, stress, burnout, personal development, and lifestyle change.
Kaizen Wellness is not a therapy provider, psychiatric service, trauma-treatment provider, crisis service, emergency mental health provider, or substitute for professional psychological care.
Our coaches do not provide diagnosis, psychotherapy, psychiatric treatment, trauma treatment, crisis counselling, or emergency intervention.
If you experience suicidal thoughts, self-harm urges, severe distress, psychological crisis, danger to yourself or another person, or any mental health emergency, you must immediately contact emergency services, a qualified mental health professional, a crisis line, a doctor, a hospital, or a trusted person.
Kaizen communication channels are not monitored as emergency support channels.
10. Results Are Not Guaranteed Unless Specifically Stated
Client results vary.
Results depend on many factors, including:

your starting point;

your health;
-
your hormones;
-
your medication;
-
your sleep;
-
your stress levels;
-
your consistency;
-
your honesty;
-
your training execution;
-
your nutrition execution;
-
your communication;
-
your check-ins;
-
your personal circumstances;
-
your work and family responsibilities;
-
your medical limitations;
-
your willingness to follow the programme.
Kaizen provides structure, coaching, education, support, and guidance. You are responsible for execution.
Any examples, testimonials, transformation photos, case studies, before-and-after images, or client stories are examples only. They do not promise, guarantee, or represent that you will achieve the same or similar result.
If a specific written results guarantee applies to a programme, that guarantee will only apply if you meet every requirement stated in that guarantee. This may include completing check-ins, submitting required photos, following the plan, meeting deadlines, communicating honestly, attending required sessions, and completing the programme as instructed.
No verbal statement, social media post, advertisement, testimonial, message, or informal communication creates a guarantee unless it is included in the written programme-specific guarantee terms.
11. Client Responsibility
You agree to:

use the programme responsibly;
-
provide accurate information;
-
ask questions if you do not understand something;
-
seek medical advice where appropriate;
-
follow instructions safely;
-
respect your body and limitations;
-
communicate honestly;
-
submit check-ins on time where required;
-
not misuse support channels;
-
not expect emergency support;
-
not share your account;
-
not copy or distribute Kaizen content;
-
behave respectfully toward coaches, staff, and other clients;
-
comply with these Terms.
You understand that failure to participate, failure to use the platform, failure to follow the programme, failure to check in, failure to communicate, failure to attend sessions, or failure to complete required actions does not automatically entitle you to a refund, cancellation, extension, or release from a payment plan.
12. Programme Access
Your access period depends on the programme or offer you purchased.
Access may start on:

the date of purchase;
-
the programme start date;
-
the date your account is activated;
-
another date stated in writing.
Access may include app access, course access, community access, recordings, coaching support, live sessions, PDFs, meal plans, training plans, recipes, or other resources, depending on your offer.
Access does not continue indefinitely unless expressly stated in writing.
When your access period ends, we may remove, restrict, suspend, or close your access to the app, course, community, recordings, support channels, resources, and programme materials.
Bonus content, replays, live sessions, app features, coach access, and community access may be changed, removed, replaced, or discontinued.
13. App and Platform Use
The Kaizen Wellness app and online platform are licensed to you for personal use only. They are not sold to you.
You may not:

share your login details;
-
allow another person to use your account;
-
copy app content;
-
record videos;
-
screenshot protected content;
-
download content unless we allow it;
-
scrape, extract, or reproduce content;
-
reverse engineer the app or platform;
-
upload Kaizen materials into third-party platforms for redistribution;
-
use the app or platform for commercial purposes;
-
use the app or platform to create a competing product;
-
interfere with the operation, security, or integrity of the app or platform.
We may suspend or terminate access if we believe your account has been misused, shared, copied, compromised, or used in breach of these Terms.
Apple, Google, Kajabi, Vimeo, payment processors, email providers, WhatsApp, Meta, and other third-party platforms may support or enable parts of our service. We are not responsible for downtime, outages, policy changes, review delays, app-store decisions, payment processor issues, or technical limitations caused by third-party providers.
14. Support Channels and Communication
Kaizen may provide support through one or more channels, including email, WhatsApp, app messages, community comments, live sessions, calls, webinars, or other platforms.
Support channels are for programme-related guidance only. They are not emergency channels, medical channels, therapy channels, crisis channels, or unlimited personal access to coaches.
We may set reasonable boundaries around:

support hours;
-
response times;
-
message length;
-
number of questions;
-
check-in format;
-
coaching scope;
-
coach availability;
-
live-session attendance;
-
replay access;
-
holiday periods;
-
platform communication rules.
We may not respond immediately. We are not responsible for consequences caused by delayed replies, unread messages, missed messages, technical failures, or messages sent outside approved support channels.
15. Live Sessions, Calls and Recordings
Some programmes may include live sessions, webinars, coaching calls, group calls, or recordings.
Unless otherwise stated in writing:

live sessions may be recorded;
-
recordings may be made available for a limited time;
-
missed live sessions do not create a refund right;
-
replays are not guaranteed forever;
-
coaching calls may be rescheduled when necessary;
-
group calls are not private therapy, medical advice, or emergency support;
-
participants must behave respectfully.
By attending live or recorded sessions, you consent to being visible, audible, or identifiable if you choose to participate, speak, appear on camera, comment, or share information.
16. Payments
You agree to pay all fees associated with your purchase.
Payments may be processed through online checkout, card payment, EFT, invoice, payment link, payment processor, Kajabi, or another approved method.
Online payments, app-related payments, Kajabi checkout payments, and international digital programme payments may be processed by or on behalf of Kaizen Wellness International LLC.
EFT payments may be made to Kaizenites (Pty) Ltd, which may act as the South African service provider and/or authorised EFT collection entity for Kaizen.
Payment into the Kaizenites (Pty) Ltd bank account does not change the programme owner, content owner, platform owner, intellectual property owner, app operator, or applicable programme terms.
You are responsible for ensuring that your payment reference, payment amount, payment proof, and payment timing are correct.
We may delay or refuse access until payment has cleared.
17. Payment Plans
If you choose a payment plan, you agree that the payment plan is a commitment to pay the full programme fee in instalments.
A payment plan is not a month-to-month subscription unless we specifically state in writing that it is.
Cancelling participation, failing to attend, failing to use the platform, failing to complete the programme, changing your mind, or not achieving your desired result does not automatically cancel the outstanding balance.
If a payment fails, we may:

suspend access;
-
pause support;
-
remove you from groups;
-
restrict platform access;
-
request immediate payment;
-
attempt to collect the failed payment again;
-
charge lawful admin, collection, or banking fees;
-
recover the outstanding amount where allowed by law.
You agree to keep your payment details up to date and to contact us immediately if you are unable to make a scheduled payment.
18. Refunds, Cancellations and Cooling-Off Rights
Refunds are only available:
-
where required by applicable law;
-
where a written programme-specific refund guarantee applies and you have met every condition;
-
where Kaizen approves a discretionary refund in writing.
No refund is automatically due because:
-
you changed your mind;
-
you did not use the programme;
-
you did not attend sessions;
-
you did not complete the programme;
-
you did not submit check-ins;
-
you did not follow the plan;
-
you did not achieve the result you wanted;
-
you experienced normal discomfort from exercise or lifestyle change;
-
you purchased during a promotion and later found a different offer;
-
you expected a different level of support from what was included in your offer.
Where applicable law gives you a cooling-off, cancellation, refund, or consumer right, nothing in these Terms removes that right.
Where a refund is approved, refunds may be processed through the original payment method or the relevant payment-receiving entity where reasonably possible. EFT refunds may be processed by Kaizenites (Pty) Ltd. Online checkout or card refunds may be processed by Kaizen Wellness International LLC or the relevant payment processor.
To the extent allowed by law, we may deduct or withhold amounts for:

payment processing fees;
-
banking fees;
-
currency conversion losses;
-
chargeback fees;
-
admin fees;
-
consultations already delivered;
-
coaching already delivered;
-
digital content already accessed;
-
services already provided;
-
costs already incurred.
Refund requests must be submitted in writing to [insert email address].
19. Chargebacks and Payment Disputes
You agree to contact Kaizen in writing before initiating a chargeback, payment reversal, dispute, or bank complaint.
If you initiate a chargeback without first giving us a reasonable opportunity to resolve the matter, we may suspend your access and provide your signed agreement, login records, payment records, course access records, communication records, and programme records to the payment processor, bank, legal representative, or relevant authority.
Where allowed by law, you may be responsible for chargeback fees, collection costs, legal costs, and outstanding amounts.
20. Promotions, Discounts and Special Offers
From time to time, Kaizen may offer promotions, discounts, bonuses, limited-time offers, early-bird pricing, group pricing, corporate pricing, or special access terms.
Promotional offers are valid only for the period, clients, programme, and conditions stated.
We may correct pricing errors, withdraw promotions, refuse misuse of discounts, or decline access where an offer has been used incorrectly.
A later discount, promotion, or special offer does not entitle previous clients to a refund, credit, or price adjustment.
21. Corporate, Executive and Group Programmes
Corporate, executive, team, and group programmes may be subject to additional terms, proposal documents, invoices, written agreements, or company-specific arrangements.
Where an employer, sponsor, organisation, or company pays for access, the participant remains responsible for safe participation, accurate information, respectful conduct, and personal execution.
Kaizen does not guarantee employee performance, weight loss, productivity, mental health outcomes, medical outcomes, team outcomes, business results, leadership outcomes, or organisational results.
Corporate and executive programmes are educational, developmental, coaching-based, and performance-supportive. They are not medical treatment, psychological treatment, legal advice, financial advice, HR advice, or labour-law advice.
22. Intellectual Property
All Kaizen Wellness content, including but not limited to videos, app content, course materials, training plans, nutrition plans, recipes, PDFs, worksheets, frameworks, graphics, logos, brand assets, methods, systems, written content, audio, live sessions, recordings, templates, checklists, programme structures, and coaching materials, is owned by or licensed to Kaizen.
This includes, where applicable, Kaizen Wellness, Kaizen Wellness Method, The Capacity Framework, The Capacity Advantage, RRCIPE, programme names, course structures, content systems, coaching frameworks, and related intellectual property.
You receive a limited, personal, non-transferable, non-exclusive licence to access and use the content for your own personal participation in the programme.
You may not:

copy;
-
reproduce;
-
sell;
-
resell;
-
share;
-
publish;
-
distribute;
-
upload;
-
teach;
-
license;
-
record;
-
screenshot;
-
imitate;
-
adapt;
-
turn into a competing product;
-
use for commercial purposes;
-
share with non-clients;
-
use in your own coaching, fitness, nutrition, wellness, corporate, or educational business.
Breach of this section may result in immediate termination of access and legal action.
23. AI Use and Content Protection
You may not upload, copy, train, scrape, reproduce, summarise, repurpose, translate, adapt, or use Kaizen content, materials, videos, plans, frameworks, coaching content, programme content, or client-only resources in any artificial intelligence system, automation system, chatbot, content generator, training model, database, or third-party tool for redistribution, resale, commercial use, public sharing, or creation of derivative products.
You may not use Kaizen content to create a competing programme, app, course, coaching system, fitness plan, nutrition plan, wellness product, corporate training, book, PDF, social media content series, or commercial framework.
Kaizen may use internal tools, automation, analytics, administrative systems, or AI-assisted tools to support service delivery, client support, content organisation, communication, platform improvement, and business operations, subject to our privacy obligations and applicable law.
24. Community Conduct
If you participate in any Kaizen community, group, WhatsApp group, app group, live session, comment section, or support channel, you agree to behave respectfully.
You may not:

harass others;
-
bully others;
-
shame others;
-
body-shame others;
-
make sexual comments;
-
send abusive messages;
-
promote hate, discrimination, or violence;
-
give medical advice to other clients;
-
give dangerous nutrition or training advice;
-
promote competing products;
-
advertise your own services;
-
share screenshots of other clients;
-
share private group content outside the group;
-
contact other clients inappropriately;
-
misuse coach access;
-
disrupt the group;
-
post offensive, illegal, or harmful content.
We may remove posts, restrict access, remove you from a group, suspend your account, terminate your participation, or refuse future service if we believe your conduct is harmful, unsafe, disrespectful, abusive, or in breach of these Terms.
Serious misconduct may result in removal without refund, to the extent allowed by law.
25. Progress Photos, Testimonials and Media
During your programme, you may choose or be required to submit photos, measurements, check-ins, testimonials, feedback, screenshots, messages, videos, voice notes, or progress updates.
Unless you give us separate written consent, we will not intentionally publish identifiable before-and-after photos, private progress photos, or sensitive personal transformation material for marketing purposes.
If you tag Kaizen publicly, post publicly about your results, submit a testimonial, send a review, provide written feedback, or give media consent, you may give Kaizen permission to use that content in line with the consent provided.
Where you provide consent, Kaizen may use your testimonial, name, image, video, written feedback, screenshot, result, or progress story in marketing, websites, social media, emails, presentations, advertisements, brochures, internal training, or sales material.
You may withdraw consent for future use by contacting us in writing. Withdrawal of consent will not necessarily require Kaizen to remove materials already printed, published, distributed, used in campaigns, or shared before we received and processed your withdrawal request, unless required by law.
We may edit testimonials for grammar, length, formatting, or clarity, provided we do not intentionally misrepresent the meaning.
26. Privacy and Personal Information
Kaizen may collect and process personal information to provide services, manage accounts, process payments, communicate with you, deliver programmes, improve our services, meet legal obligations, and protect our rights.
Personal information may include:

surname;

email address;
-
phone number;
-
billing details;
-
payment information;
-
location information;
-
account login information;
-
programme selection;
-
app usage;
-
check-in information;
-
weight;
-
body measurements;
-
progress photos;
-
before-and-after photos;
-
fitness information;
-
nutrition information;
-
injury information;
-
health-related information you choose to disclose;
-
medication-related context you choose to disclose;
-
consultation notes;
-
messages;
-
testimonials;
-
communication records;
-
technical and device information;
-
marketing preferences.
We may process your information through third-party platforms and service providers, including website platforms, app platforms, Kajabi, payment processors, email systems, WhatsApp, Vimeo, analytics tools, Apple, Google, Meta, cloud storage providers, professional advisers, and operational software providers.
Your information may be stored or processed in South Africa, the United States, or other countries where our service providers operate.
By using our services, you consent to the collection, processing, storage, and transfer of your personal information as described in these Terms and any separate Privacy Notice we provide.
We take reasonable steps to protect personal information, but no system is completely secure. You are responsible for keeping your login details private.
You may contact us to request access to, correction of, or deletion of your personal information, subject to legal, operational, contractual, and record-keeping requirements.
27. Confidentiality
You agree to keep confidential any private, client-only, unpublished, or sensitive information shared inside Kaizen programmes, communities, coaching spaces, live sessions, or support channels.
You may not share another client’s personal information, photos, messages, results, health information, story, comments, or identity outside the programme.
Kaizen will take reasonable steps to respect client confidentiality, but group environments are not fully private. You should not share information in a group that you are not comfortable sharing with other participants in that group.
28. Third-Party Services
Kaizen may use third-party services to deliver parts of the programme, including Kajabi, payment processors, Apple, Google, Vimeo, WhatsApp, Meta, email platforms, analytics tools, scheduling tools, cloud services, and other providers.
Your use of those third-party services may also be subject to their own terms, privacy policies, app-store rules, payment terms, and platform requirements.
We are not responsible for the actions, downtime, policy changes, fees, decisions, errors, data practices, or technical problems of third-party providers, except where the law requires otherwise.
29. Suspension and Termination
We may suspend, restrict, or terminate your access if:

you breach these Terms;
-
your payment fails;
-
you misuse the platform;
-
you share your account;
-
you copy or distribute content;
-
you behave abusively;
-
you harass coaches or clients;
-
you create safety concerns;
-
you provide false information;
-
you initiate improper chargebacks;
-
you use the service unlawfully;
-
we believe continued participation is inappropriate, unsafe, or harmful.
Suspension or termination does not automatically release you from outstanding payment obligations.
30. Limitation of Liability
To the maximum extent allowed by law, Kaizen Wellness International LLC, Kaizenites (Pty) Ltd, their owners, directors, members, employees, contractors, coaches, consultants, suppliers, affiliates, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary loss or damage.
This includes, but is not limited to:

injury;
-
illness;
-
emotional distress;
-
loss of income;
-
loss of profit;
-
loss of opportunity;
-
loss of data;
-
business interruption;
-
failed results;
-
platform downtime;
-
third-party service issues;
-
personal decisions made based on programme content;
-
consequences of failing to seek medical or professional advice.
To the extent that liability cannot be excluded, Kaizen’s total liability will be limited to the amount you paid for the specific programme or service giving rise to the claim, unless applicable law requires otherwise.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
31. Indemnity
You agree to indemnify and hold harmless Kaizen Wellness International LLC, Kaizenites (Pty) Ltd, their owners, directors, members, employees, contractors, coaches, consultants, suppliers, affiliates, service providers, and representatives from any claim, loss, damage, cost, liability, fee, or expense arising from:

your unsafe participation;

your failure to seek medical advice;

your failure to disclose relevant information;

your sharing of content;
-
your infringement of intellectual property;
-
your misconduct in a community or group;

your violation of another person’s rights;

your unlawful use of the service;

any claim brought by someone using your account.
32. Dispute Resolution
If you have a concern, complaint, refund request, payment dispute, or legal issue, you agree to contact Kaizen in writing first at [insert email address].
Both parties agree to first attempt to resolve the issue in good faith.
Where possible, the parties should follow this process:

written notice of the issue;

reasonable opportunity for Kaizen to respond;

good-faith attempt to resolve the issue informally;
-
mediation or another agreed dispute-resolution process where appropriate and legally allowed;
-
formal legal action only if the issue cannot be resolved.
You agree not to make false, misleading, defamatory, abusive, or harmful public statements about Kaizen, its coaches, companies, clients, or services while a matter is being reviewed, without limiting any lawful consumer rights you may have.
33. Governing Law and Jurisdiction
For online purchases, app access, international digital programme purchases, and purchases processed by or on behalf of Kaizen Wellness International LLC, these Terms are governed by the laws of the State of Delaware, United States, unless applicable consumer law requires otherwise.
For EFT payments made to Kaizenites (Pty) Ltd, services delivered primarily through the South African service company, South African corporate or executive programmes, or South African client-service arrangements, South African law may also apply.
Where legally permitted, disputes must be handled through the dispute process stated in these Terms before formal legal proceedings are started.
Nothing in these Terms removes, limits, or excludes any consumer protection right, statutory right, privacy right, or other legal right that cannot lawfully be removed, limited, or excluded.
34. Changes to These Terms
We may update these Terms from time to time.
The updated version will apply from the date it is published, unless otherwise stated.
If a material change affects an active paid programme, we will take reasonable steps to notify affected clients where appropriate.
Your continued use of our website, app, platform, programme, community, or services after updates are published means you accept the updated Terms.

36. Client Confirmation
By purchasing, joining, accessing, or participating in a Kaizen Wellness programme, you confirm that:

you have read and understood these Terms;

you understand that Kaizen programmes are educational and coaching-based;

you understand that Kaizen does not provide medical, dietetic, psychological, psychiatric, physiotherapy, or emergency services;

you understand that participation is voluntary and at your own risk;

you understand that results depend on your own execution and personal circumstances;

you understand that you should consult a qualified healthcare professional where appropriate;

you understand that payment plans are commitments to pay the full programme fee in instalments;
-
you understand that EFT payments may be received by Kaizenites (Pty) Ltd as the South African service provider and/or authorised EFT collection entity;

you agree to use the platform, app, content, community, and support channels responsibly;

you agree to protect Kaizen’s intellectual property and client confidentiality.
